What Filings Must Corporations, LLCs and LLPs Submit Every Year?

In most states, business entities such as corporations and limited liability companies (LLCs) must file annual information reports to demonstrate that they remain in good standing. These reports tend to be almost entirely informational, providing the name of the company, its principal address, the names of officers and directors, as well as the name of the registered agent.

What Annual Reports Must Businesses File in Texas?

In Texas, corporations (either S or C corporations) and LLCs are not required to submit an annual information report, unless the business qualifies as a franchise. Under Texas law, any company (including corporations, LLCs and LLPs) with a taxable income in excess of $1,180,000 will be required to file a franchise tax report and potentially pay a franchise tax.

Limited liability partnerships (LLPs) must file an annual report. All businesses other than corporations, LLCs and LLPs must file an annual “ownership information report,” or OIR. Limited partnerships are only required to submit a report every four years, but professional associations must also file an annual report.
